These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Seller,” “you,” or “your”) and Podzilla Prints, LLC, a Tennessee limited liability company (“Podzilla,” “we,” “us,” or “our”). By creating an account or using the Podzilla platform (the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.
Podzilla is a print-on-demand and sublimation fulfillment platform. We enable Sellers to connect their online storefronts (including Etsy and Shopify) to our system, submit orders for production, and have finished products shipped directly to their end customers. Podzilla handles printing, quality control, packaging, and shipping on the Seller’s behalf.
Podzilla is a fulfillment service provider. We produce and ship products on your behalf based on the designs, specifications, and order information you provide. You acknowledge and agree that:
You must be at least 18 years of age and capable of forming a binding contract to use the Service. By registering, you represent and warrant that you meet these requirements.
To access the Service, you must create an account by providing accurate and complete information, including your name, email address, and billing details. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You may connect third-party storefronts (such as Etsy or Shopify) to your Podzilla account through authorized integrations. You are solely responsible for maintaining valid credentials and permissions for these connected accounts. Podzilla is not responsible for disruptions caused by changes to third-party platform APIs, policies, or your account status on those platforms.
Podzilla offers subscription-based access to the Service. Current plans include monthly and annual options. Plan details, features, and pricing are listed on our website and may be updated from time to time. We will provide reasonable notice before any pricing changes take effect on your next billing cycle.
All fees are processed through our third-party payment processor (currently Stripe). By subscribing, you authorize us to charge the payment method on file for recurring subscription fees and any per-order production and fulfillment charges. All charges are in U.S. dollars unless otherwise stated.
We maintain billing records and invoices for all charges. You may access your billing history through your account dashboard.
Subscription fees are generally non-refundable except as required by applicable law. If a production or fulfillment error is attributable to Podzilla, we will, at our discretion, reprint or reship the affected order or issue a credit to your account. Claims for production errors must be submitted within fourteen (14) days of delivery.
You are solely responsible for all designs, artwork, print files, and other content you upload to the Service. You represent and warrant that:

Podzilla reserves the right to refuse production of any order that, in our sole discretion, violates this Acceptable Content Policy. Repeated violations may result in account suspension or termination. We may update this policy from time to time and will notify you of material changes.
You are responsible for ensuring that all order details, including shipping addresses, product selections, and personalization instructions, are accurate before submission. Podzilla is not liable for errors caused by incorrect information provided by the Seller.
You are solely responsible for determining, collecting, reporting, and remitting all applicable taxes related to the sale of your products, including but not limited to sales tax, use tax, value-added tax (VAT), goods and services tax (GST), income tax, customs duties, and import/export fees. Podzilla does not collect or remit sales taxes on your behalf, and nothing in these Terms constitutes tax advice. You should consult a qualified tax professional regarding your obligations.
You retain all ownership rights to the designs and print files you upload. By uploading content, you grant Podzilla a limited, non-exclusive, royalty-free license to use, reproduce, and process your content solely for the purpose of fulfilling orders and providing the Service.
The Service, including its software, interface, branding, documentation, and all associated intellectual property, is owned by Podzilla Prints, LLC. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Service as described herein.
Podzilla respects the intellectual property rights of others and expects Sellers to do the same. We comply with the Digital Millennium Copyright Act (“DMCA”) and will respond to valid notices of alleged infringement.
Filing a Notice. If you are a copyright or trademark owner (or authorized to act on behalf of one) and believe that content on the Podzilla platform infringes your rights, you may submit a written notice to our designated agent at the address below. Your notice must include:
Podzilla’s Response. Upon receipt of a valid notice, we will investigate and, if appropriate, remove or disable access to the allegedly infringing content and make a reasonable attempt to notify the affected Seller.
Counter-Notice. If you believe your content was removed in error, you may submit a counter-notice to our designated agent containing: (a) identification of the removed material; (b) a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake; (c) your name, address, and phone number; (d) your consent to jurisdiction of the federal court in your district; and (e) your physical or electronic signature.
Repeat Infringers. Podzilla maintains a policy of terminating the accounts of Sellers who are subject to repeated valid notices of intellectual property infringement. If we believe a previously terminated Seller has created a new account, we reserve the right to suspend that account immediately.

Podzilla will produce orders in accordance with the specifications provided by the Seller through the platform. Production timelines are estimates and may vary based on order volume, product availability, and other factors.
We ship orders using third-party carriers. Shipping rates and estimated delivery times are provided at the time of order. Podzilla is not responsible for delays, loss, or damage caused by carriers after the package has been tendered for shipment. Tracking information will be provided when available.
We strive to deliver high-quality products. If you receive a product that is defective or does not match the submitted specifications due to our error, please contact us within fourteen (14) days of delivery. We will evaluate the issue and, at our discretion, offer a reprint, replacement, or account credit.

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service. This includes, without limitation, business processes, pricing, customer data, and technical information. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PODZILLA’S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO PODZILLA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL PODZILLA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, WHETHER ARISING IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless Podzilla Prints, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your content, products, or product listings; (d) your violation of any rights of a third party, including intellectual property rights; (e) any dispute between you and your end customers; or (f) your failure to comply with applicable tax or regulatory obligations.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PODZILLA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Podzilla shall not be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, fires, floods, earthquakes, epidemics or pandemics, acts of war or terrorism, government actions or orders, labor disputes, supply chain disruptions, carrier delays, power outages, internet or telecommunications failures, or shortages of materials or supplies. In the event of a force majeure, affected production timelines and delivery estimates will be extended by the duration of the delay. We will make commercially reasonable efforts to notify you of any material delays and to resume normal operations as soon as practicable.
These Terms are effective as of the date you first access or use the Service and remain in effect until terminated.
You may cancel your subscription and close your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You remain responsible for any outstanding charges incurred prior to cancellation.
We may suspend or terminate your account at any time if you breach these Terms, engage in fraudulent activity, receive repeated intellectual property complaints, or for any other reason at our sole discretion with reasonable notice, except in cases of material breach where immediate termination may be warranted.
Upon termination, your access to the Service will cease. Any orders in production at the time of termination will be completed and shipped. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, Confidentiality, and Governing Law) shall survive.
Before initiating any formal proceeding, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days. Most concerns can be resolved through our support channels.
If a dispute cannot be resolved informally, you and Podzilla agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in Tennessee. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
YOU AND PODZILLA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-law principles.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
